The undersigned Applicant hereby applies to be selected as a vendor at Riot Fest 2024 music festival (“Festival”) and agrees to the following:
Applicant understands that acceptance of this Agreement is within the sole discretion of the Festival promoter, Riot Fest, its affiliates, assignees and designees (hereafter collectively referred as “Riot Fest”). In the event this Agreement is not accepted by Riot Fest, Applicant will not be allowed to conduct any commercial activity at the Festival, and Applicant’s fee will be returned.
Payment of Vendor Fee shall be made with this Agreement with checks payable to: AWMedia. No refunds will be offered once this contract has been signed, unless the event does not take place. Riot Fest is a rain or shine event. Payment must be submitted with this signed agreement and a completed Vendor Application. Valid Credit Card must be kept on file for certain Security Deposits.
Vendor acknowledges that Riot Fest has informed all Vendors that the booths and the event location is not a secure facility and that Riot Fest does not guarantee the security or safety of Vendor’s property, assets or sales receipts, and further hereby agrees to accept no responsibility for the same. Riot Fest requires that Vendor purchase applicable insurance to cover vending and merchandise transportation as well as applicable event insurance. All vendors must submit a valid certificate of insurance. (Sample COI)
(a) Vendor has all permission, licenses, rights, and title to sell and/or exhibit merchandise, and that none of the merchandise infringes any patents, copyrights, trademarks or other ownership rights of any third party;
(b) Vendor has any and all business licenses and permits needed to sell and/or exhibit its merchandise;
(c) Vendor hereby agrees that all personal property, supplies, equipment, product and merchandise in or around the booth exhibit area shall be on site at its own sole risk and hazard;
(d) Vendor hereby agrees to indemnify, defend and hold harmless Riot Fest Corporation, City of Chicago Department of Cultural Affairs and Special Events, Chicago Park District, AWMedia, Arts Weekly, Inc. and each of their respective members, employees, officers, directors, shareholders, managers, agents, affiliated companies, parent or subsidiary organizations, lenders, insurers, re-insurers and assigns from and against any and all claims, causes of action, civil and/or criminal lawsuits, demands for liability, damage, loss, and/or expense arising from any injury to persons or property which may occur in relation or connection to Vendor’s, its agents, representatives, employees, guests or customers activities, acts, actions, failures or omissions in relation to the Festival at any time before, during or after the same.
(e) VVendor understands and acknowledges that Riot Fest’s approval of Vendor does not constitute an endorsement of, or any representation concerning the accuracy or authenticity of, the merchandise, and Vendor will in no way state or imply to members of the public or Festival participants that it has such endorsement of Riot Fest.
(f) Vendor agrees that it will sell only those products which are approved for sale by Vendor, and that are duly licensed, by the respective holder of all applicable copyright, trademark and other intellectual property rights, to Vendor for Vendor to sell and that Vendor will not sell any licensed products of any Artist playing the festival without the express permission of the Riot Fest.
(g) Vendor agrees that any banners to be used must be eight (8) feet or less.
(h) Vendor agrees not to bring nor use any tent or covering not provided or approved by Riot Fest. Riot Fest will provide tents for each approved Vendor who purchased tenting.
(i) Vendor agrees that it will not share chairs, tables and booths with other vendors.
(j) Vendor agrees not to enter into any partnerships nor co-operative marketing or promotions with other vendors or sponsors without the express permission of Riot Fest.
(k) Vendor must notify Riot Fest at least 10 days before the event whether any high-traffic events (signings, giveaways, etc.) are planned at the booth. High traffic events will affect booth placement.
(l) Vendor is responsible for any damage to the tent and space provided, including but not limited to tears in tent material, stickers on tent or tent structure, broken poles in tent structure, etc.
(m) Vendor agrees not to attach objects to the outside of tent and tent structure, including but not limited to banners, flags and other promotional objects unless approved by Riot Fest.
Vendor hereby agrees to collect any and all applicable taxes, and that Riot Fest does not accept or assume any responsibility for state, local and or federal taxes required.
Vendors must be set up by times arranged by Vendor manager. Vendor hereby agrees to not take down or remove items from its booth until after the headliner has completed its set each day of the Festival, unless otherwise approved by Riot Fest.
Riot Fest may choose to shut down any Vendor Booth should Riot Fest reasonably believe that illegal activities are taking place at the booth or upon any other violation of the Festival rules and regulations, as they may be amended from time to time in the sole discretion of Riot Fest. A copy of Riot Fest’s current Rules and Regulations are attached hereto and incorporated into this agreement as though fully set forth herein. Any Vendor whose booth has been shut down forfeits its entire Vendor Fee.
Riot Fest shall use reasonable efforts to provide a suitable location for Vendor’s sale. Notwithstanding the preceding sentence, Riot Fest makes no warranties or representations with regard to vendor location. Vendor shall have sole responsibility to make arrangements with Vendor manager with regard to vendor location.
(a) The laws of the states of Illinois apply regardless of issues involving choice of law;
(b) Any action must be brought in either state or Federal court in Cook County, Illinois;
(c) The prevailing party is entitled to court costs and attorneys’ fees;
(d) No amendments to this agreement are enforceable unless in writing signed by both parties.
All Riot Fest vendors, and any agent, employee or contractor of any of them, are subject to Riot Fest rules and regulations, including, but not limited to, all of the provisions set forth herein or in any supplemental rules and regulations, all venue signage, and all applicable laws. Entering the Festival grounds indicates one’s acceptance of, and agreement to observe and not otherwise violate, Riot Fest rules and regulations. Those who are admitted into the Festival grounds are deemed licensees whose permission to remain on the property may be revoked by Riot Fest at any time, with or without cause. Riot Fest reserves the right to issue verbal warnings to anyone prior to ejection.
All vendors must confine their activities to the spaces designated by Riot Fest and leave the Festival grounds clean and in good condition upon conclusion of the event. No permanent structures of any kind may be erected upon the Festival grounds. All temporary facilities, vehicles, tents, shelters or other equipment of any nature shall be subject to inspection and modification in accordance with the provisions of law, including but not limited to, local building codes and accessibility laws, and/or modification to meet aesthetic standards of the property owner, owners’ association, if applicable, and/or Riot Fest standards of Festival uniformity. Modification and/or removal of any disapproved item shall be at the vendor’s sole expense.
All vendor personnel shall conduct themselves within the Festival grounds in accordance with the first class standards of their respective industry or profession, shall dress appropriately, be neat and clean in appearance, refrain from using profanity or other objectionable conduct, and all interactions with Festival guests shall be courteous and professional.
Misconduct of any kind will not be tolerated, including, but not limited to, theft, vandalism, sales or attempted sales of narcotics, or the presence of any vendor personnel on Festival grounds while under the influence of alcohol or of any intoxicant, narcotic, prescription drug or any other sensory-impairing substance – any of which will be grounds for immediate ejection and/or arrest by Festival security. Riot Fest reserves the right in its sole discretion to refer any person to law enforcement for any reason.
No vendor shall engage in the sale, or attempted sale, of any counterfeit merchandise, or of any products for which Riot Fest has not given the vendor permission to sell at the Festival.
All food or beverage vendors shall be properly licensed and possess valid permits to engage in the sale of food or beverages, as applicable. No food or beverage may be sold which in the opinion of Riot Fest is unwholesome, impure, or not suitable for consumption. Food and beverage warning signs as required by law shall be the sole responsibility of the applicable vendor and Riot Fest shall have no liability whatsoever for any illness, injury or death that may arise from any food or beverage sold during the Festival by any vendor.
In the event of an evacuation, all vendors are required to exit the premises. If not adhered to, booth will be shut down and you will forfeit your payment.
Riot Fest Corp shall have the right to control all aspects of the RIOT FEST including all items sold at the festival. Information is subject to change; final load in instructions will be included in the confirmation.
Participation - The Participant desires to participate in RIOT FEST by providing merchant products and services to our general public. If the Participant’s application is accepted by Riot Fest Corp the Participant agrees to offer only those items listed on the application, no other items will be permitted without prior written consent of Riot Fest Corp. The Participant agrees to not sell or distribute merchandise that includes the event logo, the term “Riot Fest”, “RF”, or any other likeness associated with our event without prior written consent of Riot Fest Corp.
Hours of Operation - The Participant agrees to remain open for business during festival hours. We ask all participants to remain open for the duration of the event hours. Please notify us 30 days in advance if you foresee a need to close your operation early. In the event an early closure is granted, participant must remove operations by hand or cart. Vehicles are not allowed on venue during event hours under any circumstances.
Set-Up Operations - The Participant shall remove all vehicles andother items used in conjunction with setting up for event at leasttwo (2) hours prior to the start of the event. The participant willforfeit the assigned space if unoccupied. NO refund due to theparticipant. A logistics letter will be delivered to all exhibitors 15days in advance of the event with instructions on load-in, load-out,directions, rules, regulations and all details necessary toparticipate at the event.
The Participant agrees to conduct its business in a manner most likely to enhance the success of RIOT FEST and the reputation of Riot Fest Corp. In the event that Riot Fest Corp shall determine, in the exercise of its sole discretion, the Participant is acting in a manner detrimental to RIOT FEST or Riot Fest Corp., the Participant may be expelled from RIOT FEST and the Participant shall forfeit its entry fee. In the event the Participant is dismissed from RIOT FEST, they will be asked to vacate booth space immediately, take all belongings and may not be allowed to participate onsite for the remainder of the Event. Participant may be dismissed or removed from RIOT FEST if found to be in violation of any Terms and Conditions.
Deposits – Equipment Deposits will be cashed if there is a failure to return equipment, or if any piece or part of equipment is damaged or missing. Sales Category Deposit will be cashed if Participant is found selling items not preapproved in writing by Riot Fest Corp. Checks will only be cashed if rented equipment is damaged or not returned by the exhibitor, if event services are used with out prior payment, or if participant is found selling items that are not previously approved by RIOT FEST. Refunds - Refunds will not be issued for Riot Fest if
Refunds - Refunds will not be issued for Riot Fest if the participant is dismissed, booth spaced is forfeited, or participant is in violation of any of the Terms and Conditions. Refunds will not be issued if the event is faced with inclement weather, acts of God, acts of governmental agencies or any situation Riot Fest Corp deems to threaten the safety of patrons or exhibitors. Refunds will not be issued if participant fails to receive necessary approval from local licensing and permitting officials, if applicable.
Legal Liability & Insurance - The Participant shall comply with all local, federal, state and municipal laws and ordinances in the operation of its booth during Riot Fest and shall insure its merchandise against loss by theft or damage. The Participant hereby releases Riot Fest Corporation, City of Chicago Department of Cultural Affairs and Special Events, Chicago Park District, AWMedia, Arts Weekly, Inc., its officers, directors and members from any and all claims, and agrees that Riot Fest Corporation, City of Chicago Department of Cultural Affairs and Special Events, Chicago Park District, AWMedia, Arts Weekly, Inc., its officers, directors and members shall have no responsibility for, personal injury sustained by the Participant, its agents or employees, or damage to, or loss or destruction of, the Participants property. The Participant further agrees to indemnify and hold Riot Fest Corporation, City of Chicago Department of Cultural Affairs and Special Events, Chicago Park District, AWMedia, Arts Weekly, Inc., its officers, directors and members harmless, from and against any and all claims for personal injury, damage to property or theft occurring on or about the Riot Fest area, whether to the Participant, its agents or employees or any third party, caused in part or in whole by the participation of the Participant in Riot Fest.
Event Access – Two (2) vendor wristbands will be provided.
Conduct – Any vendor staff found to be selling or facilitating the sales of illicit substances or involved in any illegal activity will be immediately ejected from the festival. In addition, the entire vendor operation and staff associated with the violator will be immediately ejected from the event and will lose all rights to fees and deposits. There is absolutely zero tolerance for illegal activity at Riot Fest.
If the Participant’s application is accepted, the Participant may be assigned a space within Riot Fest area with the approximate square footage of 10 feet by 10 feet or 10 feet by 20 feet. All merchandise, equipment and materials MUST fit inside the assigned space. Display and storage outside of allocated booth space is not allowed. Additional space may be made available by Riot Fest Corp upon receipt of the Participant’s application, at an additional cost to be determined by Riot Fest Corp. The location of the Participants space within RIOT FEST area shall be determined by Riot Fest Corp in the exercise of its sole discretion, and the Participant agrees to accept the space as assigned by Riot Fest Corp. The Participant agrees to conduct its business only within the space assigned by Riot Fest Corp.
Sound Restrictions - Participant agrees to not have amplified sound of any type within booth. Participants with amplified sound may be asked to vacate space and will not receive a refund. Amplified sound has been determined to create conflict with adjacent participants. Please respect your neighbors.
Electricity - Electricity is only to be provided by Riot Fest Corp. Participants will be restricted from using personal generators due to noise, exhaust, and other factors. Participants that are found using our electrical sources without prior approval may be asked to leave and will forfeit their Equipment Deposit checks.
Maintenance - The Participant will be solely responsible for the appearance of its space. The Participant shall maintain its space in a neat, clean and sanitary condition during RIOT FEST. Participant will be required to recycle and dispose of all trash produced by their operation – as directed by Riot Fest Corp. Specific maintenance and sanitation operations will be provided to all participants at the Event. Failure to adhere to recycling policies may result in dismissal from RIOT FEST.
Parking & Vehicle Storage - All vehicles must be removed from venue two hours prior to start time. Any vendor vehicles left on venue will be towed. Any vendor vehicles parked within street closures obtained for RIOT FEST will be towed.
Booth Security - The Participant will be solely responsible for any items left overnight in booth space. Off duty police with RIOT FEST are not responsible for any items lost, stolen or damaged in booth space.
We care deeply about our fans, staff, and artists here at Riot Fest. As we draw closer to Riot Fest 2024, we will update this section accordingly with our full Health & Safety guidelines, as advised by the local and state policies.
By purchasing a ticket to Riot Fest 2024, you agree to follow any and all COVID-19 regulations for the event as issued by the festival, the City of Chicago, and/or the State of Illinois.
By purchasing a vendor booth for Riot Fest 2024 you agree to all the above.
